If any provision of these Terms of Service is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms of Service will remain in full force and effect.
Governing Law, Jurisdiction and Venue
These Terms of Service will be governed under the laws of the State of California without regard to its conflicts of law provisions. Subject to the Agreement to Arbitrate set forth below, all court actions or proceedings arising out of or relating to these Terms of Service will be venued exclusively in state or federal court in the City of Los Angeles and County of Los Angeles, CA. You hereby irrevocably consent and submit to the personal jurisdiction of said courts for all such purposes. However, we retain the right to bring legal proceedings in any jurisdiction where we believe that infringement of these Terms of Service is taking place or originating.
Agreement to Arbitrate
YOU AND HERBALTCM AGREE THAT ANY DISPUTE, CLAIM, CONTROVERSY OR CAUSE OF ACTION (COLLECTIVELY “DISPUTES”, EACH A “DISPUTE”) ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THIS SITE (INCLUDING, WITHOUT LIMITATION, ANY DISPUTE REGARDING ANY PURCHASE MADE USING THIS SITE) SHALL BE BROUGHT EXCLUSIVELY BEFORE A SINGLE, PRIVATE, AND IMPARTIAL ARBITRATOR IN A CONFIDENTIAL, FINAL, AND BINDING ARBITRATION UNDER THE FEDERAL ARBITRATION ACT, except that each party retains the right: (i) to bring an individual action in small claims court and (ii) to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights (the action described in the foregoing clause (ii), an “IP Protection Action”). YOU ACKNOWLEDGE AND AGREE THAT YOU AND HERBALTCM ARE EACH WAIVING ANY RIGHT TO TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. Further, unless both you and HerbalTCM otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding. If any part of this specific paragraph is held unenforceable, then the entirety of this “Agreement to Arbitrate” section will be deemed void. Except as provided in the preceding sentence, this “Agreement to Arbitrate” section will survive any termination of these Terms.
Arbitration Rules. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules (the “AAA Rules”) then in effect, except as modified by this “Agreement to Arbitrate” section. (The AAA Rules are available at www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this Section.
Arbitration Process. It is the intent of the Parties that that any arbitration shall be concluded as quickly as reasonably practicable. A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. (The AAA provides a form Demand for Arbitration at http://www.adr.org/aaa/ShowPDF?doc=ADRSTG_004175 and a separate form for California residents at http://www.adr.org/aaa/ShowPDF?doc=ADRSTG_015822) The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA’s roster of arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.
Changes
Notwithstanding the provisions of the “These Terms of Service May Change” section below, if HerbalTCM changes this “Agreement to Arbitrate” section after the date you first accepted these Terms of Service (or accepted any subsequent changes to these Terms of Service), you may reject any such change by sending us written notice (including by email to contact@herbaltcm.com) within 30 days of the date such change became effective, as indicated in the “Effective Date” section above. By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and HerbalTCM in accordance with the provisions of this “Agreement to Arbitrate” section as of the date you first accepted these Terms of Service (or accepted any subsequent changes to these Terms of Service).
Indemnity
You agree to indemnify and hold HerbalTCM, its subsidiaries, franchises and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of this Site in violation of these Terms of Service and/or arising from a breach of these Terms of Service and/or any breach of your representations and warranties set forth above and/or if any material that you post using this Site causes us to be liable to another. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.
These Terms of Service May Change
These Terms of Service are current as of the effective date set forth above. HerbalTCM reserves the right to change these Terms of Service from time to time consistent with applicable laws and principles. These changes will be effective as of the date we post the revised version on this Site. Your continued use of this Site after we have posted the revised Terms of Service constitutes your agreement to be bound by the revised Terms of Service. If at any time you choose not to accept these Terms of Service, you should not use this Site.
Entire Agreement
These Terms of Service (together with our Privacy Policy and any Privacy Notices or click-through agreements applicable to you) contain the entire understanding and agreement between you and HerbalTCM with respect to this Site and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and HerbalTCM with respect to this Site and your use of this Site.
